This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Trinitas, Inc. of this Software for the software product branded as “Khoste’, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (“the Product”).

By using the Product, you agree to be bounded by the terms of this EULA.
If you do not agree to the terms of this EULA, do not install or use the Product.

1. THE PRODUCT LICENSE

a) the Product is licensed to you for exclusive use within your organization, or for the exclusive use of a single client of your organization, for as long as you continue to pay subscription fees as set forth in any then-current fee schedules for the Product as published by Trinitas, Inc. The Product or output from IT may not be distributed otherwise, whether free of for a fee, without express written permission from Trinitas, Inc., provided, however, that output from the Product downloaded by you may be used within your organization after termination of your subscription.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

Limitations on Reverse Engineering, Decompilation, Disassembly and change to the SOFTWARE PRODUCT. You may not reverse engineer, decompile, or disassemble the Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation or authorized by Trinitas, Inc. in writing.

3. UPDATE AND MAINTENANCE

Trinitas, Inc. may from time to time issue updates and corrections to the Product. These will be released to you free of charge as they become available.

4. TERMINATION.

Without prejudice to any other rights, Trinitas, Inc. may terminate this EULA if you fail to comply with the terms and conditions of this EULA.

5. INTELLECTUAL PROPERTY PROTECTION.

All intellectual property rights in and to the Product including but not limited to the methods, methodologies and processes used by it to aggregate and map data and generate governance rules are owned by Trinitas, Inc. and may not be replicated in other products, whether for internal use within your organization or for commercial sale, are owned by Trinitas, Inc. The Product is protected by applicable patent and copyright laws and international treaty provisions. Therefore, you must treat the Product like any other patented and copyrighted products.

6. LIMITED WARRANTY

Trinitas, Inc. warrants that the paradigms and processes used for development of retention schedules and other governance rules contained in the Product meet or exceed professional standards of good practice, and that the data sets underlying the output have been compiled with care and due diligence. However, development of information governance rules is subjective, and dependent upon the diligence and skill of the end user. Trinitas, Inc. makes no warranty about the acceptability or quality of output developed by the end user. Trinitas, Inc. agrees to correct any errors in its software, and any identified errors or omissions in its data tables.

7. NO OTHER WARRANTIES.

Trinitas, Inc. expressly disclaims any other warranty for the Product. The Product and any related documentation is otherwise provided “as is” without any other warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the Product remains with you. The Product is provided for reference purposes only. Trinitas, Inc. is not a law firm and does not give legal advice. Output from the Product is not legal advice.

8. NO LIABILITY FOR DAMAGES.

In no event shall the author of this Software be liable for any special, consequential, incidental or indirect damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this product, even if the Author of this Software is aware of the possibility of such damages and known defects.
